Nexadent — Service Terms and Conditions

Last updated: 11th October 2026

These Service Terms and Conditions apply to services provided by Nexadent, including dental equipment inspection, diagnosis, servicing, maintenance and repairs, where applicable.

By accepting a quotation, approving work or otherwise entering into a service agreement with Nexadent, the customer agrees to the terms that have been provided and accepted, subject to applicable law.

1. Scope of services

Nexadent provides dental equipment servicing, repairs and technical support within the scope of its experience, training, equipment and available resources.

The specific services to be performed will be set out in the relevant quotation, work order, service booking or other written agreement.

Nexadent reserves the right to decline work that falls outside its capabilities, is unsafe to undertake, requires unavailable parts or requires specialist authorisation that Nexadent does not hold.

2. Quotations and estimates

Where applicable, Nexadent will provide a quotation or estimate before commencing chargeable work.

A quotation will describe the work covered and any relevant exclusions, charges or conditions.

Unless otherwise stated in writing, quotations are valid for [insert number] days from the date of issue.

An estimate is an indication of anticipated costs and is not a fixed quotation. The final cost may vary if further faults, damage or additional work are identified.

Where additional work is required beyond the agreed scope, Nexadent will seek the customer's approval before proceeding, except where otherwise agreed in writing or permitted by law.

3. Service fees and charges

Charges may include, where applicable:

  • Call-out or attendance fees.
  • Inspection and diagnostic fees.
  • Labour and repair charges.
  • Replacement parts and consumables.
  • Travel expenses or other agreed costs.
  • Goods and Services Tax (GST), where applicable.

Any applicable minimum charges, travel charges or diagnostic fees will be disclosed where reasonably practicable before the customer commits to the work.

A diagnostic or inspection fee may be payable even if the customer decides not to proceed with the recommended repair, provided the fee was disclosed and agreed to beforehand.

4. Customer approval and access

The customer is responsible for ensuring that an authorised representative approves the work and associated charges.

The customer must provide safe and reasonable access to the equipment and relevant work areas at the agreed time.

The customer must advise Nexadent of any known faults, previous repair attempts, relevant equipment history, safety concerns or other information that may affect the work.

Where the customer requires additional approvals before work can proceed, these should be communicated to Nexadent in advance.

5. Diagnosis and repair limitations

Equipment faults may have multiple causes, and some issues may not be identifiable until an inspection or repair has commenced.

Nexadent will exercise reasonable care and skill in performing agreed services. However, an initial diagnosis may not identify every fault or guarantee that a repair will resolve all existing or subsequent issues.

Older equipment, worn components, discontinued parts, previous repairs, environmental conditions and unrelated component failures may affect repair outcomes.

Where further work is recommended, Nexadent will explain the findings and discuss the available options with the customer, as appropriate.

6. Parts and components

Repairs may require new, replacement, refurbished or compatible parts, depending on availability, suitability and the agreed scope of work.

Where material to the customer's decision, the type and condition of parts proposed will be disclosed before installation.

Parts may be subject to separate manufacturer or supplier warranty conditions. Any applicable warranty details will be provided where available.

If a part is unavailable, discontinued or subject to extended delivery times, Nexadent will advise the customer where reasonably practicable.

Removed parts will be returned to the customer upon request where practicable, unless they must be retained for safety, warranty, supplier or legal reasons. Any disposal or return arrangements and associated charges should be agreed in advance where applicable.

7. Customer responsibilities and equipment safety

The customer remains responsible for the safe operation and management of equipment within the practice, subject to the responsibilities that apply by law and under the agreed service arrangement.

Where Nexadent identifies an apparent safety issue, the customer will be advised of the issue and any recommended action within the scope of the service.

Equipment that is identified as unsafe should not be used until the relevant issue has been appropriately assessed and resolved.

The customer is responsible for following applicable clinical, infection-control and equipment-use procedures and for ensuring that equipment is made available for service in an appropriate condition.

Following a repair, the customer should follow any instructions or recommendations provided by Nexadent regarding equipment use, monitoring and further maintenance.

8. Service reports and recommendations

Where applicable, Nexadent may provide details of the work performed, faults identified, parts replaced and recommendations for further action.

Recommendations are based on the observations and testing undertaken within the agreed scope of work. They do not necessarily constitute a comprehensive assessment of every component or system within the practice.

Any further inspection, testing, repair or maintenance outside the agreed scope may require a separate quotation or approval.

9. Payment terms

Invoices are payable on completion, unless another arrangement has been agreed in writing.

The customer is responsible for paying the charges that were properly authorised and incurred under the service agreement.

If the customer disputes an invoice, the customer should contact Nexadent promptly and explain the nature of the dispute so the matter can be reviewed.

Any applicable late-payment charges or costs of recovering overdue amounts must be disclosed where required and comply with applicable law.

10. Cancellations and appointment changes

Customers should provide as much notice as reasonably practicable if an appointment needs to be cancelled or rescheduled.

Any cancellation fee will apply only where it has been disclosed and agreed to in advance and is lawful in the circumstances.

Nexadent will endeavour to notify customers promptly of delays, unexpected unavailability or circumstances requiring an appointment to be rescheduled.

11. Warranty on services and parts

Any express warranty offered by Nexadent for particular work or parts will be described in the relevant quotation, invoice or written warranty documentation.

Where a warranty applies, its scope, duration, conditions and exclusions will be explained in that documentation.

A warranty relating to a particular repair does not automatically cover unrelated faults, additional components or subsequent damage.

Nothing in this clause excludes or limits any rights or remedies available to the customer under the Australian Consumer Law or other applicable laws.

12. Customer-supplied equipment and parts

Where the customer supplies equipment, parts or components for installation or repair, the customer should provide accurate information about their source, condition and compatibility where known.

Nexadent may decline to install or use a component where it appears unsuitable, unsafe or incompatible with the equipment.

Any additional inspection, troubleshooting or work required because of customer-supplied parts may be subject to additional charges, provided those charges are agreed to before the additional work proceeds.

13. Responsibility for equipment and property

Nexadent will exercise reasonable care when handling customer equipment and property.

The customer should identify any pre-existing damage, known defects or special handling requirements before work begins.

If an incident occurs during service, the parties should cooperate to establish the relevant facts and determine an appropriate response.

Nothing in these terms excludes or restricts liability to the extent that such exclusion or restriction is prohibited by law.

14. Liability and Australian Consumer Law

Nexadent will perform agreed services with the care and skill required by applicable law.

To the extent permitted by law, Nexadent is not responsible for faults or damage that are demonstrably unrelated to the services performed, or for circumstances outside its reasonable control, subject to any non-excludable legal obligations.

Any limitation of liability must be read subject to applicable statutory rights, including consumer guarantees under the Australian Consumer Law.

Nothing in these terms excludes, restricts or modifies any right, remedy, guarantee or liability that cannot lawfully be excluded, restricted or modified.

15. Delays and parts availability

Service times and parts delivery dates are estimates unless expressly agreed otherwise in writing.

Delays may arise because of supplier availability, discontinued components, the discovery of additional faults or circumstances outside Nexadent's reasonable control.

Where a material delay occurs, Nexadent will endeavour to advise the customer and discuss the next steps.

16. Uncollected equipment

Where equipment is left in Nexadent's possession, any collection arrangements, storage charges and applicable deadlines will be agreed with the customer in advance where appropriate.

Nexadent will not dispose of or sell customer equipment except as permitted by law and any applicable agreement.

17. Complaints and concerns

If a customer is dissatisfied with the service provided, they should contact Nexadent as soon as reasonably practicable, providing details of the issue and the relevant service or invoice.

Nexadent will review the concern and endeavour to resolve it fairly and promptly.

This process does not affect any statutory rights or remedies available to the customer.

18. Changes to these terms

Any material changes to the agreed scope of work, fees or other service conditions must be communicated to the customer and approved where required.

A later revision to these general terms does not automatically change an existing agreement that has already been accepted.

19. Governing law

These terms are governed by the laws applicable in Victoria, Australia, subject to any mandatory laws that apply in the relevant circumstances.
